Genuics — Analytics, Case Management & AI Platform

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and 1001560798 Ontario Inc., operating as Genuics ("Genuics," "we," "us," or "our"), governing your access to and use of the Genuics platform, including all associated services, features, applications, and documentation (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

If you do not agree with these Terms, you must not access or use the Service.


1. Eligibility

1.1. You must be at least eighteen (18) years of age to use the Service.

1.2. You must have the legal capacity and authority to enter into a binding agreement.

1.3. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization and that the organization agrees to these Terms.

1.4. You must not use the Service if you are prohibited from doing so under applicable law.


2. Account Registration and Security

2.1. To access the Service, you must create an account by providing accurate and complete information. You may register using an email address and password or through a supported single sign-on (SSO) provider.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3. You must notify us immediately at security@genuics.com if you become aware of any unauthorized access to or use of your account.

2.4. You may invite additional users to your account ("Authorized Users"). You are responsible for ensuring that all Authorized Users comply with these Terms. You are also responsible for all actions taken by Authorized Users under your organization's account.

2.5. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

2.6. You may delete your organization and all associated data through the Service. To request complete deletion of your individual account (including your email address and personal information), contact us at privacy@genuics.com. We will process account deletion requests within thirty (30) days.


3. Description of the Service

3.1. Genuics is a cloud-based analytics, case management, and artificial intelligence platform that enables users to:

3.2. The Service is provided on a multi-tenant architecture with logical data isolation between customer accounts.

3.3. We may update, modify, or enhance the features and functionality of the Service from time to time. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

3.4. If content sharing features are introduced in the future, any content you choose to share publicly (such as dashboards, reports, or visualizations) is shared at your sole discretion and responsibility. Genuics is not liable for the consequences of content you choose to make publicly accessible.


4. Subscription Plans and Billing

4.1. Plans. The Service is offered under multiple subscription tiers, including free and paid plans. The features, limitations, storage caps, row limits, and usage allowances for each plan are described on our pricing page at genuics.com/pricing, which may be updated from time to time. The pricing page forms part of these Terms with respect to plan-specific limitations.

4.2. Free Plan. The free plan provides limited access to the Service at no charge, subject to the usage limits described on the pricing page. Certain features, including but not limited to AI-powered features and audit logs, are not available on the free plan. We reserve the right to modify, limit, or discontinue the free plan at any time, with thirty (30) days' prior notice.

4.3. Paid Plans. Paid subscriptions are billed in advance on a recurring monthly or annual basis, depending on the billing cycle you select at the time of purchase. Each paid plan has specific feature availability, usage limits, and capabilities as described on the pricing page.

4.4. Enterprise Plans. Enterprise subscriptions are available with custom terms, including but not limited to HIPAA-compliant configurations with a Business Associate Agreement, enhanced support, and custom service level agreements. Enterprise terms are negotiated separately and, where applicable, supersede the corresponding provisions of these Terms.

4.5. Payment. All fees are charged in the currency indicated at the time of purchase. Payment is processed through our third-party payment processor, Stripe. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.

4.6. Taxes. All fees are exclusive of applicable taxes, including but not limited to GST, HST, PST, QST, VAT, and sales tax. You are responsible for all applicable taxes, and we will collect and remit taxes where required by law.

4.7. Price Changes. We may change our subscription fees upon thirty (30) days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period.

4.8. Failed Payments. If a payment fails, we will attempt to process the charge again. If payment remains unsuccessful after a reasonable number of attempts, we may suspend or downgrade your account.

4.9. Plan Limits. If your usage exceeds the limits of your current plan (such as storage capacity, number of datasets, or row counts), we may notify you and require you to upgrade to an appropriate plan. We reserve the right to restrict functionality if you remain over your plan limits after a reasonable notice period.


5. Cancellation and Refunds

5.1. Cancellation. You may cancel your paid subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. You will not be charged for subsequent billing periods.

5.2. No Refunds. All fees paid are non-refundable. No refunds or credits will be issued for partial billing periods, downgraded plans, or unused features.

5.3. Downgrade to Free Plan. Upon cancellation of a paid subscription, your account may be transitioned to the free plan, subject to the limitations of that plan. If your usage exceeds free plan limits, certain features or data may become inaccessible until you upgrade or reduce usage.

5.4. Data After Cancellation. Following the end of your subscription, your data will be retained for thirty (30) days to allow for data export or account reactivation. The Service provides data export functionality, including dataset downloads, report exports, and dashboard exports in PDF and PNG formats. You are solely responsible for exporting your data within the thirty (30) day retention period. After thirty (30) days, your data will be permanently and irrecoverably deleted.


6. Customer Data

6.1. Ownership. You retain all right, title, and interest in and to any data, datasets, files, content, or information that you upload, import, submit, or otherwise make available through the Service ("Customer Data"). Genuics does not claim any ownership of Customer Data.

6.2. License to Genuics. You grant Genuics a limited, non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and display Customer Data solely as necessary to provide, maintain, and improve the Service in accordance with these Terms and our Privacy Policy.

6.3. AI-Generated Outputs. Any insights, recommendations, reports, analyses, or other outputs generated by the AI features of the Service using your Customer Data ("AI Outputs") are owned by you. Genuics does not claim ownership of AI Outputs derived from your Customer Data.

6.4. Aggregated Data. Genuics may collect and use anonymized, aggregated, de-identified data derived from Customer Data and usage of the Service for purposes of improving the Service, conducting research, and generating industry benchmarks, provided that such data cannot reasonably be used to identify you or any individual. This aggregated data is not considered Customer Data.

7. Acceptable Use

7.1. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:

8. Intellectual Property

8.1. Genuics IP. The Service, including all software, code, algorithms, interfaces, designs, trademarks, logos, documentation, and underlying technology, is and remains the exclusive property of Genuics and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

8.2. Feedback. If you provide suggestions, feature requests, ideas, or other feedback regarding the Service ("Feedback"), you grant Genuics an irrevocable, perpetual, worldwide, royalty-free license to use and incorporate such Feedback without any obligation to you.

8.3. Restrictions. You must not remove, alter, or obscure any proprietary notices, labels, or marks on the Service.


9. AI Features and Disclaimers

9.1. The Service includes artificial intelligence and machine learning features that analyze Customer Data to generate insights, recommendations, and suggested actions. AI features are available on eligible paid subscription plans only, as described on the pricing page.

9.2. No Guarantee of Accuracy. AI-generated outputs are provided for informational purposes only. They may contain errors, inaccuracies, or biases. You should independently verify any AI-generated output before relying on it or making decisions based on it.

9.3. Not Professional Advice. AI outputs do not constitute professional, legal, medical, financial, or any other form of expert advice. You are solely responsible for any decisions or actions you take based on AI-generated outputs.

9.4. Third-Party AI Services. The AI features of the Service are powered in part by third-party AI infrastructure providers (including Google Cloud Vertex AI). These providers process Customer Data solely for the purpose of generating AI outputs and are subject to data processing terms that prohibit the use of Customer Data for model training. For more information, see our Privacy Policy and Data Processing Addendum.

9.5. Continuous Improvement. AI features are subject to ongoing development and may change over time. We do not guarantee that AI features will always be available, perform consistently, or produce the same results for identical inputs.

9.6. Plan Availability. The availability of specific AI features varies by subscription plan. Free plan users do not have access to AI features. Details of AI feature availability are described on the pricing page at genuics.com/pricing.


10. Service Availability and Support

10.1. We use commercially reasonable efforts to make the Service available and operational. However, the Service is provided on an "as available" basis, and we do not guarantee uninterrupted or error-free access.

10.2. We may perform scheduled maintenance from time to time, during which the Service may be temporarily unavailable. We will make reasonable efforts to provide advance notice of planned maintenance.

10.3. Support is provided in accordance with the terms of your subscription plan. Details of available support channels and response times are described on the pricing page.

10.4. Enterprise customers may negotiate custom service level agreements ("SLAs") as part of their Enterprise subscription terms.


11. Third-Party Integrations

11.1. The Service may integrate with or allow connections to third-party services, applications, or platforms. Your use of any third-party service is subject to the terms and policies of that third party.

11.2. Genuics is not responsible for the availability, accuracy, content, or practices of any third-party services. Your decision to integrate with a third-party service is at your own risk.


12. Confidentiality

12.1. Each party agrees that any non-public, proprietary, or confidential information disclosed by one party to the other in connection with the Service ("Confidential Information") will be treated as confidential.

12.2. The receiving party will not disclose Confidential Information to any third party except as necessary to perform obligations under these Terms, and only to individuals who are bound by confidentiality obligations at least as protective as those herein.

12.3. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is independently developed by the receiving party; or (d) is rightfully obtained from a third party without restriction.


13. Limitation of Liability

13.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GENUICS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND WHETHER OR NOT GENUICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GENUICS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO GENUICS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

13.3. The limitations in this section apply to all claims, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory.

13.4. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by law.


14. Disclaimer of Warranties

14.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING.

14.2. GENUICS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

14.3. GENUICS DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED OUTPUTS, RECOMMENDATIONS, OR INSIGHTS PROVIDED THROUGH THE SERVICE.

14.4. YOU ACKNOWLEDGE THAT YOU USE THE SERVICE AT YOUR OWN RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA RESULTING FROM YOUR USE OF THE SERVICE.


15. Indemnification

15.1. You agree to indemnify, defend, and hold harmless Genuics and its directors, officers, employees, agents, and licensors from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:


16. Suspension and Termination

16.1. Suspension. We may suspend your access to the Service immediately, without prior notice, if we reasonably believe that:

16.2. Termination by Us. We may terminate your account and these Terms at any time by providing thirty (30) days' written notice. In the case of a material breach by you, we may terminate immediately upon written notice.

16.3. Termination by You. You may terminate your account at any time by cancelling your subscription and requesting account deletion through the Service or by contacting us at support@genuics.com.

16.4. Effect of Termination. Upon termination: (a) all rights granted to you under these Terms will immediately cease; (b) you must stop using the Service; (c) your Customer Data will be retained for thirty (30) days following termination and then permanently deleted; (d) any outstanding fees will become immediately due and payable.

16.5. The following sections shall survive termination: Section 6 (Customer Data), Section 8 (Intellectual Property), Section 12 (Confidentiality), Section 13 (Limitation of Liability), Section 14 (Disclaimer of Warranties), Section 15 (Indemnification), Section 17 (Governing Law), and Section 18 (Dispute Resolution).


17. Governing Law

17.1. These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.


18. Dispute Resolution

18.1. Informal Resolution. Before initiating any formal proceedings, you agree to first contact us at legal@genuics.com to attempt to resolve any dispute informally. The parties will make good faith efforts to resolve the dispute within thirty (30) days of notice.

18.2. Jurisdiction. If a dispute cannot be resolved informally, you agree that any legal proceedings shall be brought exclusively in the courts of the Province of Ontario, located in the City of Toronto, and you consent to the personal jurisdiction of such courts.

18.3. Class Action Waiver. To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.


19. General Provisions

19.1. Entire Agreement. These Terms, together with the Privacy Policy, any applicable Data Processing Addendum, and (for Enterprise customers) any separately executed Enterprise agreement, constitute the entire agreement between you and Genuics regarding the Service, and supersede all prior agreements, understandings, and communications.

19.2. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

19.3. Waiver. Genuics's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

19.4. Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Genuics may assign these Terms without restriction.

19.5. Notices. Notices to you will be sent to the email address associated with your account. Notices to Genuics should be sent to legal@genuics.com.

19.6. Force Majeure. Genuics shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet disruptions, power failures, pandemics, or acts of terrorism.

19.7. Independent Contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Genuics.

19.8. Export Compliance. You agree to comply with all applicable export control laws and regulations in connection with your use of the Service.


20. Changes to These Terms

20.1. We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least thirty (30) days before the changes take effect.

20.2. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your account before the changes take effect.
